Rules

1. All rewards are non-refundable and non-transferable.
2. No purchase necessary.
3. All prospective qualifiers will be audited by USANA’s Ethics & Education team to confirm eligibility. Participants must cooperate fully with any audit and provide all requested documentation within 10 business days of request. Failure to cooperate or provide requested documentation will result in automatic disqualification.
4. After qualifier’s eligibility is confirmed, incentive bonus will be paid in commission checks.
5. Void where prohibited by law.
6. Taxes, if applicable, are the sole responsibility of the prize winner.
7. All bonuses paid under this promotion are commissions based on actual sales. Thus, all bonuses will be adjusted from existing volume and/or subtracted from future commission checks if products that generated the bonus are returned for a refund.  USANA may recover bonuses paid for up to 12 months following the promotion end date if refunds or chargebacks occur during that period, and may offset such amounts against any future commissions or payments due to the participant.
8. If a prize winner voluntarily or involuntarily terminates his/her distributorship under the terms of the Brand Partner Agreement before the end of the contest, they will forfeit any right to a prize. Prize winners who terminate within 90 days after receiving payment of any prize must return the full amount of such prize to USANA.
9. USANA, at its sole discretion, may disqualify any entrant from participating in the incentive, refuse awards, and require the return of any rewards if an entrant breaches the Brand Partner Agreement or Terms & Policies, engages in any conduct USANA deems to be improper, unfair, or otherwise adverse to the operation of the promotion or detrimental to other entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during the incentive.
10. This incentive may not be used for any form of gambling.
11. If, for any reason, the internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond USANA’s control, which corrupt or otherwise affect the administration, security, fairness, integrity, or proper conduct of this promotion, USANA reserves the right, at its sole discretion, to discontinue the promotion or modify or suspend the incentive, if possible and as necessary, to correct any issue that prevents the fair, secure, and proper administration of the promotion. USANA may also modify or terminate this incentive at any time for any reason in its sole discretion, with notice posted on its website or distributed to participants via email to the address on file.
12. USANA is not responsible for lost, late, or misdirected on-line entries or transactions for incorrect, inaccurate, or incomplete entry information whether caused by any equipment or technical malfunction or for any human error, technical error, or malfunctions, including any injury or damage to participant’s or any other person’s computer related to, or resulting from, participation or downloading any materials in this incentive.
13. USANA reserves the right to use names, images, or likenesses of contest winners for printed and online media to market USANA products and promotions.
14. By participating in the promotion, entrant agrees to release and hold harmless USANA and its officers, directors, employees, affiliated companies and agents (collectively the “RELEASE PARTIES”) from and against any claim or cause of action arising out of participation in the promotion; unauthorized human intervention in the promotion; and injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the promotion and any associated events. Entrant further agrees that in any cause of action, the RELEASE PARTIES’ liability shall be limited to the cost of participating in the promotion, and in no event shall the RELEASED PARTIES be liable for attorneys fee and entrant waives the right to claim any further damages, including, but not limited to, punitive, consequential, direct, or indirect damages.
15. Except where prohibited, entrant agrees that any and all disputes, claims, and cause of action out of or connected with the promotion shall be resolved under the laws of the State of Utah, without respect to any conflict of law issues and entrant agrees that disputes shall be resolved individually, without resort to any form of class action, and with exclusive jurisdiction in the State of Utah.
16. Independent Contractor Status. Participation in this incentive does not create an employment relationship between any participant and USANA. All participants remain independent contractors solely responsible for all federal, state, provincial, and local taxes, business insurance, and business expenses related to their distributorship and participation in this incentive.
17. Prohibited Conduct. Participants may not engage in any manipulation or gaming of the incentive requirements, including but not limited to: cycling orders through participant accounts, enrolling fictitious Brand Partners or Preferred Customers, cross-recruiting, front-loading inventory, using multiple accounts, or any other artificial inflation of qualifications or volume. Such conduct will result in immediate disqualification, forfeiture of all rewards, requirement to return any rewards already received, and potential termination of distributorship.
18. Deadlines are Final. All qualification periods, payment dates, and submission deadlines specified in this incentive are final and strictly enforced. USANA will not consider appeals, exceptions, or extensions based on technical issues, late submissions, system delays, or any other circumstances occurring within 48 hours of any deadline. Participants are solely responsible for ensuring timely compliance with all requirements.
19. Data Privacy and Consent. By participating in this incentive, entrants expressly consent to USANA’s collection, use, storage, and processing of their personal information and business data for administration of this incentive, verification of eligibility, payment processing, marketing purposes as described herein, and compliance with applicable laws and regulations.
20. Communications and Notice. All official communications, notices, and announcements regarding this incentive will be sent to the email address on file with USANA in participant’s account. Participants are solely responsible for maintaining current and accurate contact information and for monitoring their email regularly. Failure to receive communications due to outdated contact information, spam filters, or failure to check email will not excuse non-compliance with incentive requirements or deadlines.
21. Binding Arbitration. Notwithstanding paragraph 22 above, any dispute, claim, or controversy arising out of or relating to this incentive shall be resolved through final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Salt Lake County, Utah. Each party shall bear its own attorneys’ fees and costs. Entrant expressly waives the right to a jury trial and the right to participate in any class action or class-wide arbitration.
22. No Assignment or Transfer. All prizes, bonuses, and rewards under this incentive are personal to the qualifying participant and may not be assigned, transferred, pledged as collateral, or encumbered in any manner. Any attempt to assign or transfer any prize or reward will result in immediate forfeiture.
23. USANA’s Interpretation Final. In the event of any dispute regarding the interpretation of these terms and conditions, eligibility requirements, qualification criteria, or any other aspect of this incentive, USANA’s interpretation shall be final and binding on all participants. USANA’s records regarding orders, enrollments, volume, and qualifications shall be deemed accurate and conclusive.
24. Severability. If any provision of these terms and conditions is determined to be invalid, illegal, or unenforceable in any jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect and shall not be affected by the invalid provision or its severance.
25. Entire Agreement. These terms and conditions, together with the USANA Brand Partner Agreement, Terms & Policies, and Compensation Plan, constitute the entire agreement between USANA and participants regarding this incentive. No verbal or written representations, statements, or promises made outside of these written terms are binding on USANA or shall create any obligations.
26. Limitation Period for Claims. Any legal claim, action, or proceeding arising out of or relating to this incentive must be commenced within 90 days after the promotion end date. Any claim not brought within this 90-day period is forever barred, regardless of any statute of limitations that might otherwise apply.
27. Force Majeure. USANA shall not be liable for any delay or failure to perform its obligations under this incentive due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government restrictions, labor disputes, or supply chain disruptions. In such events, USANA may modify, suspend, or cancel the incentive without liability.
